1. Introduction

Welcome to Truvano! These Terms and Conditions ("Terms") govern your use of the Truvano marketplace platform, including our website, mobile applications, and related services (collectively, "the Platform"). Truvano is owned and operated by Truvano Limited, registered in Nigeria with RC Number 9339090.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.

2. Definitions

• "Platform" refers to the Truvano website, mobile apps, and all related services
• "User" means any person who accesses or uses the Platform
• "Buyer" is a User who purchases products through the Platform
• "Vendor" is a User who sells products through the Platform
• "Content" includes text, images, videos, and other materials on the Platform
• "Transaction" refers to any purchase or sale made through the Platform

3. Account Registration

3.1 Eligibility

To use the Platform, you must be at least 18 years old and capable of forming legally binding contracts. By registering, you represent that you meet these requirements.

3.2 Account Information

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.

4. Marketplace Services

4.1 Platform Role

Truvano provides a platform for Buyers and Vendors to connect and transact. We are not a party to transactions between users and do not own, possess, or control the products listed.

4.2 Product Listings

Vendors are responsible for the accuracy of their listings. Prohibited items include illegal goods, counterfeit products, stolen property, dangerous items, and anything that violates our Acceptable Use Policy.

4.3 Transactions

All payments must be made through the Platform's payment system. Off-platform payments void your buyer/seller protection. We reserve the right to hold funds pending dispute resolution.

5. Buyer Responsibilities

As a Buyer, you agree to:

• Provide accurate delivery information
• Pay for purchases in full through the Platform
• Inspect products upon delivery and report issues promptly
• Confirm delivery when satisfied with the product
• Communicate respectfully with Vendors
• Not make fraudulent claims or disputes

6. Vendor Responsibilities

As a Vendor, you agree to:

• Provide accurate and honest product descriptions
• List only products you own and are legally entitled to sell
• Ship orders within the stated timeframe
• Use reliable shipping methods with tracking
• Respond to buyer inquiries promptly
• Comply with all applicable laws and regulations
• Pay applicable subscription fees and commissions
• Submit to KYC verification as required

7. Fees and Payments

7.1 Vendor Fees

Vendors pay monthly subscription fees based on their plan. Transaction commissions are deducted from sales. Promotion fees apply for featured listings.

7.2 Payment Processing

Payments are held in escrow until delivery is confirmed. Funds are released to Vendors after buyer confirmation or automatically after 7 days.

7.3 Withdrawals

Vendors can withdraw earnings to their verified bank accounts. Processing times vary by bank but typically take 1-3 business days.

8. Disputes and Refunds

Users should first attempt to resolve issues directly. If unsuccessful, disputes can be opened through the Platform. Our support team reviews evidence from both parties and makes fair decisions. Refunds, when approved, are processed according to our Refund Policy.

Fraudulent dispute claims may result in account suspension and forfeiture of funds.

9. Intellectual Property

All Platform content, logos, trademarks, and software are the property of Truvano Limited or its licensors. Users retain ownership of their content but grant us a license to use it for Platform operations. You may not reproduce, distribute, or create derivative works from Platform content without permission.

10. Prohibited Activities

Users may not:

• Violate any laws or regulations
• Sell prohibited, illegal, or counterfeit items
• Provide false or misleading information
• Manipulate reviews or ratings
• Harass or abuse other users
• Attempt to bypass security measures
• Scrape or harvest Platform data
• Create multiple accounts for fraudulent purposes
• Engage in money laundering or financial fraud

11. Account Termination

We may suspend or terminate accounts for violations of these Terms, fraudulent activity, or at our discretion. Users may also request account deletion by contacting support or using the account deletion feature.

Upon termination, pending transactions will be resolved, any balance owed will be settled, and account data will be handled according to our Privacy Policy.

12. Limitation of Liability

Truvano is not liable for:

• Actions or omissions of Buyers or Vendors
• Quality, safety, or legality of listed products
• Accuracy of product listings or user content
• Service interruptions or technical issues
• Indirect, incidental, or consequential damages

Our total liability shall not exceed the amounts paid by you to us in the 12 months preceding any claim.

13. Indemnification

You agree to indemnify and hold harmless Truvano, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Changes to Terms

We may update these Terms from time to time. We will notify users of significant changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through the courts of Nigeria or through alternative dispute resolution as we may agree.
